(“Shattuck” or the “Company”) (NASDAQ: STTK), a clinical-stage biotechnology company pioneering the development of potentially first-in-class monoclonal and bispecific DR3 blocking antibodies for the treatment of patients with inflammatory and immune-mediated diseases, today announced the pricing of its previously announced a public offering of 10,879,376 shares of its common stock at a public offering price per share of $4.00 and, in lieu of common stock to certain investors, pre-funded warrants to purchase up to 7,870,624 shares of its common stock at a public offering price of $3.9999 per pre-funded warrant. The pre-funded warrants have an exercise price of $0.0001 per share and are exercisable immediately. The aggregate gross proceeds to Shattuck from the offering are expected to be approximately $75 million before deducting underwriting discounts and commissions and other offering expenses payable by Shattuck, excluding any exercise of the underwriters’ option to purchase additional shares. The offering is expected to close on June 11, 2026, subject to the satisfaction of customary closing conditions. In addition, Shattuck has granted the underwriters an option for a period of 30 days to purchase up to an additional 2,812,500 shares of its common stock at the public offering price, less underwriting discounts and commissions.
