STRATA Skin Sciences, Inc. (“STRATA” or the “Company”) (NASDAQ: SSKN), a medical technology company dedicated to developing, commercializing, and marketing innovative products for the treatment of dermatologic conditions, today announced that it has entered into definitive securities purchase agreements with certain institutional investors for the purchase and sale of 1,097,547 shares of the Company’s common stock at a per share purchase price of $2.204, in a registered direct offering, priced at-market under Nasdaq rules.

Ladenburg Thalmann & Co. Inc. is acting as exclusive placement agent for the offering.

The closing of the registered direct offering is expected to occur on or about September 4, 2025, subject to the satisfaction of customary closing conditions.

The gross proceeds to The Company from the registered direct offering, before deducting the placement agent fees and other offering expenses payable by the Company, are expected to be approximately $2.42 million. The Company intends to use the net proceeds from the offerings for working capital and for general corporate purposes.

The securities described above are being offered pursuant to a shelf registration statement on Form S-3 (File No. 333-283418), which was declared effective by the United States Securities and Exchange Commission (“SEC”) on December 18, 2024.
